Terms of Service

Last updated October 20, 2026

These Terms of Service ("Terms") are a legal agreement between you and the independent developer who owns and operates Verikou, based in California, USA ("Verikou", "we", "us"). They govern your use of verikou.com, the Verikou dashboard, the Verikou API, webhooks, and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you're using the Service for a company or other organization, you agree on its behalf and confirm that you have the authority to do so. "You" then includes that organization.

Please read Section 16 carefully. It requires you and Verikou to resolve most disputes through individual binding arbitration, not in court, and it waives your right to a jury trial and to take part in a class action. You can opt out of arbitration within 30 days, as Section 16 explains.

1. Eligibility

To use the Service, you must be at least 18 years old and able to form a binding contract. You must not be barred from using it under any applicable law. You confirm that you are not located in, organized in, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, and that you are not on, or owned or controlled by anyone on, a U.S. or other applicable sanctions or restricted-party list. You may not use the Service if we have previously suspended or terminated your account, unless we agree in writing.

2. What Verikou is, and isn't

Verikou is a software tool that monitors public blockchains for payments to and from the wallet addresses you give it, and tells you about them through the dashboard, email, the API, and webhooks.

Verikou is non-custodial. We never hold, receive, transmit, or control your cryptocurrency or anyone else's, except the fees you pay us. We never ask for your private keys or seed phrases. Verikou is not a bank, money transmitter, payment processor, exchange, broker, escrow agent, or wallet provider, and nothing in the Service is financial, investment, tax, accounting, or legal advice.

You decide what to rely on. Payment statuses, confirmation counts, amounts, exchange rates, and notifications are provided for convenience. They can be delayed, incomplete, or wrong, for example because of network congestion, blockchain reorganizations, outages at providers we rely on, or errors in our software. Before you ship goods, release services, or take any other action that matters, independently verify the transaction on the blockchain and wait for the number of confirmations that's appropriate for its value. You are solely responsible for those decisions and for your dealings with the people you transact with.

3. Your account

Give us accurate information and keep it up to date. You're responsible for keeping your password and API keys secure and for all activity under your account, including activity through your API keys. Tell us right away at support@verikou.com if you suspect unauthorized access. You may not create accounts by automated means, share an account with people outside your organization, or create additional accounts to get around plan limits, fees, or a suspension.

4. Plans, fees, and billing

Plans. Our plans, their prices, their included transactions, and the per-transaction overage fee are described on our Pricing page, which is part of these Terms. The Free plan has a hard monthly limit and is never billed. During our beta period, beta accounts are not billed; we'll give you notice before beta ends.

Billing and renewal. Paid plans run month to month and continue until you change plans. On the first day of each month, we bill the month that just ended: the flat fee for the highest paid plan you held at any point during that month, plus any overage. You can switch to the Free plan at any time from the Pricing page; the switch takes effect at the start of the next billing month, and you'll be billed for the current month. Fees are stated in U.S. dollars.

Paying. Fees are paid in the cryptocurrency we offer for billing, from the billing wallet saved on your account, to the address shown on your invoice. When an invoice is in a currency other than USDC, we convert the U.S. dollar amount using a market exchange rate at the time we issue it. Each invoice is due within 30 days. You pay all network and transaction fees. You must send the full invoiced amount, on the correct network, from your billing wallet. Payments sent to the wrong address, on the wrong network, in the wrong amount, or from a different wallet may not be credited, and because blockchain transactions are irreversible, we may be unable to return them.

Non-payment. While an invoice is unpaid, you can't create new payments, and we may suspend or terminate your account after notice. You remain responsible for unpaid fees after your account closes.

No refunds; changes; taxes. Fees are non-refundable, except where the law requires otherwise. We may change our prices or plans; for a paid plan, we'll give you at least 30 days' notice before a price increase applies to you. Fees don't include taxes. You're responsible for any taxes that apply to your use of the Service, other than taxes on our income.

5. Acceptable use

You may use the Service only for lawful purposes and in line with these Terms. You agree not to, and not to help anyone else to:

  • Break the law: use the Service in connection with fraud, scams, money laundering, terrorist financing, sanctions evasion, ransomware, extortion, illegal goods or services, or any other unlawful activity.
  • Harm or surveil others: monitor addresses or transactions to stalk, harass, threaten, or track people without a legitimate reason, or to violate anyone's privacy or other rights.
  • Send unwanted or deceptive messages: use payment requests or notifications for spam, phishing, impersonation, or any message the recipient hasn't agreed to receive from you. Don't misrepresent who you are or your affiliation with anyone, including Verikou.
  • Abuse our infrastructure: exceed or get around rate limits, plan limits, quotas, or billing; send traffic designed to overload or degrade the Service; or interfere with our servers, networks, databases, or blockchain nodes.
  • Probe or attack: scan, probe, or test the vulnerability of the Service, or bypass any authentication or security measure, without our prior written permission. If you find a security issue, report it to support@verikou.com and don't access or change data that isn't yours.
  • Misuse webhooks: point webhooks at systems you don't own or aren't authorized to receive traffic for, or use them to reach internal or third-party systems.
  • Scrape or extract: scrape, crawl, or harvest data from the Service except through the documented API within its limits.
  • Copy or compete: copy, frame, or mirror any part of the Service, or access or use it to build a competing product or service, including by copying its features, design, workflows, documentation, or API.
  • Reverse engineer: decompile, disassemble, or reverse engineer any part of the Service, or try to derive its source code, except to the extent the law expressly allows despite this restriction.
  • Resell: resell, sublicense, white-label, or give third parties access to the Service, or your API keys, without our written permission.
  • Introduce harmful code: upload or transmit malware or any code designed to disrupt, damage, or gain unauthorized access to systems or data.

We may investigate suspected violations, remove content, limit or block traffic, and cooperate with law enforcement. We may act on reasonable suspicion, and we don't have to monitor your use.

6. API and webhooks

Your use of the API is subject to these Terms, our API documentation, and the rate limits for your plan. Keep your API keys confidential; you're responsible for everything done with them. We may change, version, or retire API endpoints and webhook formats. We'll try to give reasonable notice of changes that could break your integration, but we may act without notice when needed for security or legal reasons. Webhook delivery is best-effort: retries are limited, and events can arrive late, more than once, or out of order. Verify webhook signatures, and don't rely on webhooks as your only record of a payment.

7. Your content and other people's information

You keep ownership of the information you put into the Service, such as payment details, labels, wallet addresses, and contact details ("Your Content"). You give Verikou a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Your Content as needed to provide, secure, and improve the Service, and to comply with the law. This license ends when Your Content is deleted under our data retention practices.

When you give us information about another person, such as a payee's name or email address, you confirm that you have the right to share it with us and that you have any permission the law requires for us to contact that person on your behalf about the payment, by email or by any other channel the Service offers. You're responsible for the messages you ask us to send and for complying with laws that apply to them, such as anti-spam and telemarketing laws.

8. Verikou's intellectual property

The Service, including its software, source code, design, user interface, workflows, documentation, API design, text, graphics, and the "Verikou" name and logo, is owned by Verikou and protected by copyright, trademark, trade secret, and other laws. Subject to these Terms, we give you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your own internal business or personal purposes. We reserve all rights not expressly granted. You may not use our name, logo, or trademarks without our prior written permission, except to truthfully say that you use Verikou.

If you send us suggestions or feedback, you give us the right to use them for any purpose, without restriction or payment to you.

9. Blockchains and third-party services

The Service depends on public blockchain networks and on third-party providers, such as blockchain data providers, hosting, and email delivery. We don't control them and aren't responsible for their availability, accuracy, security, or behavior. That includes network congestion, forks, reorganizations, protocol changes, smart-contract behavior, and changes in the value of any digital asset. We may stop supporting a network, token, or provider at any time. Links to third-party sites are provided for convenience only.

10. Changes to the Service; beta features

We're continually changing the Service. We may add, change, or remove features, or suspend or discontinue all or part of it, with or without notice. If we discontinue the Service entirely, we'll try to give you reasonable notice so you can export your data. Features marked as beta, preview, or experimental, and the Service during its beta period, may be incomplete or unreliable. We may change or remove them at any time, and they're provided without any commitment or support.

11. Suspension and termination

You can stop using the Service and close your account at any time from the Account page, once any outstanding fees are paid.

We may suspend or terminate your access to all or part of the Service, with or without notice, if: you breach these Terms or we reasonably believe you have; your use creates risk or possible legal exposure for Verikou, our users, or others; your fees are unpaid; your use could harm or overload our systems; we're required to by law; or we stop offering the Service. Where reasonable, we'll tell you why and give you a chance to fix the problem or export your data, but we don't have to when doing so could create risk or isn't legally allowed.

When your account ends, your right to use the Service ends immediately, and we handle your data as our Privacy Policy describes. Sections 4 (for fees owed), 5, and 7 through 18, and any other terms that by their nature should survive, survive termination.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, VERIKOU DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. VERIKOU DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT IT WILL DETECT EVERY TRANSACTION OR REPORT IT CORRECTLY; THAT NOTIFICATIONS OR WEBHOOKS WILL BE DELIVERED; OR THAT ANY DATA, STATUS, OR EXCHANGE RATE IS ACCURATE OR COMPLETE. YOU USE THE SERVICE AT YOUR OWN RISK. Some jurisdictions don't allow certain warranty disclaimers, so some of this section may not apply to you.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VERIKOU AND ITS OWNER, OPERATORS, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR DIGITAL ASSETS, INCLUDING LOSSES FROM A MISSED, DELAYED, MISREPORTED, OR FRAUDULENT PAYMENT, FROM GOODS OR SERVICES RELEASED IN RELIANCE ON THE SERVICE, OR FROM FUNDS SENT TO THE WRONG ADDRESS. THIS APPLIES WHATEVER THE LEGAL THEORY, AND EVEN IF VERIKOU HAS BEEN TOLD SUCH DAMAGES ARE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, VERIKOU'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID VERIKOU IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

These limits are an essential part of the bargain between you and Verikou, and they apply even if a remedy fails of its essential purpose. They don't limit liability that can't be limited by law, such as liability for fraud, or for willful or grossly negligent conduct where the law doesn't allow it to be limited.

14. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Verikou and its owner, operators, contractors, and suppliers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: your use of the Service; Your Content; any messages you ask us to send; your dealings with payees, customers, or other third parties; or your violation of these Terms, the law, or anyone's rights. We may take over the defense of any matter you must indemnify, at your expense, and you'll cooperate with us.

15. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The Federal Arbitration Act governs Section 16. Any claim not subject to arbitration must be brought exclusively in the state or federal courts located in California, and you and Verikou consent to their personal jurisdiction. This doesn't take away any protection you have under the mandatory consumer laws of the place where you live.

16. Dispute resolution and arbitration

Talk to us first. Before starting an arbitration or court case, the party with a claim must send the other a written notice describing it and the relief sought. You send yours to support@verikou.com; we send ours to the email address on your account. Both of us will try in good faith to resolve the dispute informally for 60 days. Any deadline to bring the claim is paused during that time.

Binding individual arbitration. If the dispute isn't resolved, you and Verikou agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration on an individual basis. This includes disputes about whether something must be arbitrated. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, or its Commercial Arbitration Rules if you're using the Service for a business. Where they apply, the AAA's Mass Arbitration Supplementary Rules also govern. A single arbitrator will decide the case. It will take place by video conference or written submissions, or in person in the county where you live if either of us asks. Fees are paid as those rules provide, and the arbitrator may award any individual relief a court could award.

Exceptions. Either of us may bring an individual claim in small claims court if it qualifies. Either of us may seek an injunction in court to stop actual or threatened infringement or misappropriation of intellectual property, or unauthorized access to or abuse of the Service.

Class action and jury trial waiver. YOU AND VERIKOU EACH AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING, AND YOU AND VERIKOU EACH WAIVE THE RIGHT TO A JURY TRIAL. The arbitrator may not consolidate more than one person's claims or preside over any representative or class proceeding. If a court decides that any part of this waiver is unenforceable for a particular claim or request for relief, that claim or relief, and only that one, will be decided in court, after any individual claims have been arbitrated.

Public injunctive relief. Nothing in this section waives any right you have to seek public injunctive relief where the law doesn't allow that right to be waived. Any such request will be decided by a court after the individual claims are arbitrated, and the court case will be paused until the arbitration ends.

Opting out. You can opt out of this arbitration agreement by emailing support@verikou.com within 30 days of first agreeing to these Terms. Include your name, your Verikou username, and a clear statement that you're opting out of arbitration. Opting out doesn't affect any other part of these Terms.

Time limit. To the extent the law allows, any claim must be brought within one year after it arises, or it is permanently barred.

Changes. If we change this section, the change won't apply to a dispute that either of us gave notice of before the change took effect.

17. Changes to these Terms

We may update these Terms from time to time. We'll post the new version here and update the date at the top. If a change is material, we'll also let you know by email or with a notice in the Service at least 14 days before it takes effect, unless the change is needed sooner for legal or security reasons. If you keep using the Service after the change takes effect, you accept the updated Terms. If you don't agree, stop using the Service and close your account.

18. General

  • Entire agreement: these Terms, together with the Privacy Policy and Pricing page, are the entire agreement between you and Verikou about the Service. They replace any earlier agreements on that subject.
  • Severability: if any part of these Terms is found unenforceable, it will be enforced to the maximum extent possible, and the rest stays in effect, except as Section 16 provides for its class action waiver.
  • No waiver: if we don't enforce a provision right away, we haven't given up the right to enforce it later.
  • Assignment: you may not assign or transfer these Terms without our written consent. We may assign them, including to an entity formed to operate Verikou or as part of a merger, acquisition, or sale of assets.
  • Force majeure: we're not responsible for delays or failures caused by events beyond our reasonable control. These include blockchain network failures, outages at our providers, internet or power failures, attacks, natural disasters, and government action.
  • Export and sanctions: you will comply with all applicable export control and sanctions laws when you use the Service.
  • Notices: we may give you notices by email to the address on your account or in the Service. You give us notices at support@verikou.com.
  • Relationship: you and Verikou are independent parties. These Terms don't create a partnership, agency, fiduciary, or employment relationship, and they give no rights to any third party.
  • Interpretation: headings are for convenience only, and "including" means "including without limitation."
